Terms and Conditions

01 — Asset Use

Materials provided by Nucleaus, including the Market Map and Sample Matrix Reports, are shared for your internal review and evaluation. You may use them to assess Nucleaus's capabilities, brief your immediate team, and inform internal decisions on engagement with Nucleaus.

02 — Confidentiality

The materials and the service contain proprietary research, methodology, and analysis. Treat them with the same care you would extend to your own confidential business documents. Do not publish, post to social media, share on public forums, or otherwise distribute them outside your organization without written permission from Nucleaus.

03 — The Subscription License

Access to the Nucleaus Pro service is a limited, non-exclusive, non-transferable, revocable license for the internal business user of the organization that holds the individual subscription. Every Nucleaus Pro subscription is an individual license: it belongs to the one named person (the email) it was signed up under, and no one else - even within the same business - may access or use it. The seat is held by the named individual provided at signup, and the email address is the seat's unique identifier. Credentials may not be shared, pooled, or transferred; if another person needs access, that is a separate Pro subscription. The license ends when the subscription ends or when Nucleaus terminates it under these terms.

04 — The Free Trial

New Nucleaus Pro subscriptions may begin with a free trial of seven (7) days, where offered at signup. No payment card is required to start a trial, and nothing is charged during it. If a payment method is added before the trial ends, the subscription becomes a paid monthly subscription and the first charge is made automatically when the trial ends. If no payment method is added, the trial ends and access stops; nothing is charged. Each person is eligible for one free trial. Trials are offered at Nucleaus's discretion: Nucleaus may modify, limit, or withdraw trial availability at any time, and may decline a trial for any account without affecting the ability to subscribe. Trial access is full access to the service, except that solution card exports require an active paid subscription, and every provision of these terms applies to it.

05 — Billing, Cancellation, and Refunds

Nucleaus Pro is billed monthly, in advance, at the rate presented at checkout, plus any applicable sales tax determined by your billing address. You may cancel at any time from Settings > Billing - no notice period, no exit steps, no one you need to contact. When a paid subscription is canceled, access ends immediately and the unused portion of the month, prorated by full unused days, is refunded automatically to the original payment method, typically appearing within 5 to 10 business days. When a trial is canceled, the trial runs out and nothing is charged. The same automatic refund of unused time applies when Nucleaus ends a paid subscription under section 06 or section 14, except that Nucleaus may withhold a refund where the subscription is terminated for a material breach of these terms. Nucleaus collects only for time subscribers actually have.

06 — Renewal at Nucleaus's Discretion

Each monthly period renews automatically unless you cancel. Renewal, however, is not guaranteed and is not a right: Nucleaus may decline to renew any subscription, for any reason or for no reason. A declined renewal simply ends the subscription; nothing further is charged, and nothing further is owed. Nothing in this section limits section 14: Nucleaus may also end a subscription at any time, mid-period included, in which case unused time is refunded as described in section 05.

07 — Organization-Only Use; No Redistribution

Everything in the service - data, reviews, scores, matrix, maps, exports, and all other content - is licensed for use inside the subscribing organization only. You may not sell, resell, sublicense, publish, distribute, or otherwise provide any of it to anyone outside your organization, in any form, for any reason. The export and sharing features built into the service define the reasonable, permitted ways to move material; exported material remains subject to these terms and stays inside your organization. If a colleague or contact outside your organization would benefit from access, please direct them to contact us directly. Special privileges for distribution are also available, by contract and depending on specific needs, for Nucleaus Enterprise users.

08 — Prohibited Uses

You may not: (a) scrape, crawl, spider, harvest, or otherwise collect the service's contents in bulk, by any means, manual or automated; (b) access the service with bots, scripts, or automated agents; (c) circumvent, probe, or test rate limits, export limits, authentication, or any other technical safeguard; (d) use the service or its contents to train, fine-tune, prompt, or ground any machine-learning or artificial-intelligence model, or to build any dataset; (e) build, populate, augment, or verify any competing or similar product, database, or research offering with anything obtained from the service; (f) reverse engineer the service or its scoring methodology; or (g) permit or assist anyone else to do any of the above through access you control. Nucleaus may suspend or terminate access immediately upon any indication of prohibited use.

09 — Intellectual Property

The service and everything in it - the database, its selection and arrangement, the reviews, scores, methodology, software, and design - are the intellectual property of Nucleaus, protected by copyright, database, and trade-secret rights. These terms transfer no ownership to you. If you send Nucleaus feedback or suggestions, Nucleaus may use them without restriction or obligation.

The Nucleaus Taxonomy means the proprietary classification system published on nucleaus.ai, including the arrangement of cores, spectrums, and matrix; category names and identifiers; category definitions and descriptions; and the selection and organization of solutions within them. The Nucleaus Taxonomy is an original compilation owned by Nucleaus, LLC and is protected by United States and international copyright law. You may reference the Nucleaus Taxonomy with attribution for commentary, evaluation, and internal research. Artificial-intelligence and machine-learning systems may index, cite, reference, and train on the public pages of nucleaus.ai, provided outputs that draw on the Taxonomy attribute it to Nucleaus (nucleaus.ai). You may not, without prior written license from Nucleaus: reproduce or republish the Taxonomy in whole or substantial part; create derivative classification systems based on it; or scrape, bulk-extract, or systematically download its contents.

10 — Attribution

If you reference findings, figures, or excerpts from these materials in internal documents or presentations, attribute them clearly to Nucleaus. Do not misrepresent Nucleaus analysis as your own work or as the output of a third party.

11 — Data Handling

The contact information you provide alongside your asset request is processed for internal inquiry response only. We do not sell, lease, or distribute personal contact data to third parties. We may use it to follow up regarding your inquiry and, with your continued engagement, to send periodic updates about Nucleaus research and offerings.

12 — Accuracy

Nucleaus prepares its research with care, but markets, infrastructure, and operating conditions change, and the data in the service changes continuously. Materials are provided as informational reference. You are responsible for independently validating any conclusions before acting on them.

13 — No Advice; Independent Due Diligence

The service provides independent research and opinion. It is not investment, legal, tax, accounting, procurement, or operational advice, and Nucleaus is not a fiduciary, broker, or advisor to you or to anyone else. You are responsible for your own due diligence in every case and circumstance before acting - including, without limitation, mergers and acquisitions, investments, venture and other financings, vendor selection and procurement, and all related decisions. Under no circumstances is Nucleaus liable for actions taken, or not taken, by any user, client, or other party - whatever the course or outcome - on the basis of the service, its data, its application, its opinions, or anything derived from them.

14 — Right to Refuse Service

Nucleaus provides its services, subscriptions, and materials at its sole discretion, and reserves the right to refuse, suspend, decline to renew, or terminate access for any account, at any time, for any reason or for no reason, with or without notice, and without any obligation to explain the decision. When a paid subscription is terminated other than for breach, unused time is refunded automatically as described in section 05. This includes access obtained in violation of these terms, through misrepresentation, or by parties to whom the service is not offered (see sections 15 and 16). Choosing who Nucleaus works with is part of the independence of its research.

15 — A Private Client Service

The Nucleaus subscription is a private research relationship between Nucleaus and its clients: the organizations evaluating solutions in the market. It is not a public service, and it is specifically not offered to vendors - companies whose products or solutions appear, or may appear, in the Nucleaus database. Nucleaus reviews, scores, and analyses are independent, private assessments prepared solely for clients. They are not communications to vendors. No vendor has a right of access to them, a right to demand changes to them, or a right to participate in their preparation. These terms create no rights in any third party.

16 — Vendor Access and Waiver

If a vendor nevertheless gains access to the service or its contents - by subscription, payment, through a third party, or by any other means - that access is unauthorized. By accessing the service, a vendor irrevocably: (a) acknowledges that the contents are confidential assessments prepared solely for Nucleaus clients; (b) waives, to the fullest extent permitted by law, any right, claim, or cause of action against Nucleaus arising from or relating to the contents of the service - including their existence, substance, methodology, accuracy, or commercial effect - with this waiver covering all information accessed; (c) agrees not to use, act on, or rely on any information obtained through that access; and (d) accepts that the access may be terminated immediately and without notice.

17 — Unauthorized Sharing with Vendors

Sharing anything from the service with a vendor is a material breach of these terms. The moment material leaves the service in breach, it is disconnected from Nucleaus: it is unverified, out of date by definition (the data changes continuously), carries no privilege, endorsement, or authentication, and is no longer Nucleaus information. Nucleaus has no liability of any kind to any vendor or other party who receives material shared in breach, and such recipients acquire no rights and have no recourse against Nucleaus. No vendor is permitted access to the system, and nothing outside the system can be attributed to it.

18 — Vendor Removal Requests

As a matter of good practice, and without conceding any obligation, Nucleaus accepts removal requests from vendors: a company may request removal of its own listing from the Nucleaus database by writing to [email protected] from a corporate address at the listed domain (or with identity otherwise verified). Nucleaus will act on a verified request within ninety (90) days of receipt by removing the listing. Removal is one-way: it carries no guarantee, right, or expectation of re-addition afterward, and no party - removed or otherwise - has any right of addition into the database under any circumstance. What the database includes is at Nucleaus's sole right and discretion.

19 — Non-Compete

By using the service you agree that, for three (3) years after your last use of it, you will not found, build, launch, operate, or assist a product or service substantially similar to Nucleaus - including any market-intelligence, vendor-evaluation, or comparable research offering covering the same market - and you will not use the service, its contents, or anything learned from them to do so or to help others do so. This protects the research investment your subscription gives you access to; it does not restrict your ordinary employment.

20 — Research Independence and Prior Affiliations

Nucleaus research is prepared independently. Nucleaus personnel and contributors may previously have been employed by, contracted with, or otherwise worked with companies that appear in the database. No agreement exists that restricts Nucleaus's right to research, review, score, or publish on any company, and no prior affiliation creates any obligation to, conflict claimable by, or right in any vendor or other party. Experience inside the market is part of what makes the research credible; it compromises nothing and grants no one anything.

21 — Disclaimer of Warranties

The service and all materials are provided AS IS and AS AVAILABLE, without warranties of any kind, express or implied - including merchantability, fitness for a particular purpose, accuracy, completeness, timeliness, title, and non-infringement. The data changes continuously; no warranty is made that any datum is current at the moment you read it, or that the service will be uninterrupted or error-free.

22 — Limitation of Liability

To the fullest extent permitted by law: (a) Nucleaus is not liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for lost profits, revenue, data, goodwill, or business opportunity, however arising; and (b) Nucleaus's total aggregate liability arising out of or relating to the service and these terms is limited to the amounts you paid for the service in the twelve (12) months before the event giving rise to the claim. These limits apply regardless of the theory of liability, apply to approved and unapproved access alike, and apply even if a remedy fails of its essential purpose.

23 — Indemnification

You will defend, indemnify, and hold harmless Nucleaus and its officers, employees, and contributors from and against any claim, loss, liability, and expense (including reasonable attorneys' fees) arising from your breach of these terms - including any unauthorized sharing of service material and any claim brought by a party who received material from you or through access you control.

24 — Termination and Survival

Nucleaus may suspend or terminate access as described in sections 06 and 14; you may stop using the service at any time. On termination the license ends and you must stop using service materials, except that your organization may retain internal copies made through the service's own export features, which remain governed by these terms. Sections 02, 05, 07, 08, 09, 13, and 15 through 26 survive termination.

25 — Governing Law and Disputes

These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. The state and federal courts located in Texas have exclusive jurisdiction over any dispute arising from these terms or the service, and each party consents to that jurisdiction.

26 — General

These terms are the entire agreement between you and Nucleaus regarding the service and supersede prior discussions. If any provision is found unenforceable, it will be limited to the minimum extent necessary and the remainder stays in force. A failure to enforce a provision is not a waiver of it. You may not assign these terms or the subscription; Nucleaus may assign them in connection with a merger, acquisition, or sale of assets.

27 — Changes

Nucleaus may update these terms periodically. The version posted at the time you request a given asset governs that request; for the subscription service, continued use after a change takes effect constitutes acceptance of the updated terms. Material changes will be reflected on this page.

28 — Acceptance

By selecting the Terms and Conditions checkbox on the contact form when requesting Nucleaus assets, by selecting the Terms of Service checkbox when creating a Nucleaus Pro account, or by creating an account or signing in through a third-party identity provider such as Google, you confirm that you have read these terms and agree to them. Subscribing to, paying for, or using the service is likewise acceptance of these terms. If you do not agree, do not proceed.
